GTC. General Terms and Conditions – Emerson s.r.o.
Article 1
General provisions 1.1.
Tieto všeobecné obchodné podmienky (ďalej len „VOP“) upravujú právne vzťahy, práva a povinnosti spoločnosti Emerson s.r.o, so sídlom Račianska 88B, 83102 Bratislava, IČO: 53 870 212, IČ DPH: SK2121528662, (ďalej len „predávajúci“) a jej zákazníkov, ktorými sú fyzické osoby – nepodnikatelia, fyzické osoby – podnikatelia a právnické osoby (ďalej len „kupujúci“), ktoré vnikajú pri predaji výrobkov a služieb (ďalej spoločne len „tovar“) v kamenných prevádzkach predávajúceho.
1.2.
All contractual relationships are governed by the law of the Slovak Republic. Where the buyer is a consumer, relations not governed by these GTC are governed by Act No. 40/1964 Coll. (Civil Code) and Act No. 250/2007 Coll. (Consumer Protection Act).
1.3.
A consumer is a buyer who is a natural person and who, when concluding and fulfilling a consumer contract, does not act within the scope of their business activity or other entrepreneurial activity.
1.4.
A buyer who is not a consumer is an entrepreneur who purchases goods for the purposes of their business. This buyer is governed by the Commercial Code.
1.5.
The seller is a person who, when concluding and fulfilling a consumer contract or other contract, acts within the scope of their business activity or other entrepreneurial activity.
Article 2
Purchase contract concluded at a physical location
2.1.
The contractual relationship between the seller and the consumer buyer is defined by the relevant provisions of Act No. 40/1964 Coll. (Civil Code) and Act No. 250/2007 Coll. (Consumer Protection Act), as amended.
2.2.
Where the buyer is a consumer, the offer to conclude a purchase contract is the placement of the goods offered by the seller on the market, and the purchase contract is concluded at the moment the seller accepts the consumer’s order.
2.3.
Predaj tovaru spotrebiteľovi na základe kúpnej zmluvy v kamennej prevádzke podlieha právnej úprave zákona č.40/1964 Z. z. a ustanoveniam zákona č. 108/2024 Z.z. v zmysle ods. 1.2. pričom sa primerane použijú ustanovenia týchto VOP. 2.4.
Where the buyer is not a consumer under clause 1.4 of these GTC and does not have an individual contract with the seller, the purchase contract is concluded at the moment the seller confirms the order.
Article 3
Distance contract and Off-premises contract
3.1.
The contractual relationship between the seller and the consumer for sales under a distance contract or an off-premises contract is governed by Act No. 108/2024 Coll.
3.2.
Where the buyer is a consumer, the offer to conclude a contract is the placement of the goods offered by the seller in the catalogue. The contract is concluded at the moment the seller confirms the consumer’s order.
3.3.
Where the buyer is not a consumer under clause 1.4 of these GTC, they are governed by the commercial terms to the extent applicable.
Article 4
Product prices
4.1.
The seller states the prices of goods at physical locations in valid and publicly available price lists pursuant to Section 6 of the relevant Act. Prices are listed inclusive of VAT.
Article 5
Payment for goods
5.1.
The seller offers the consumer the following payment methods at physical locations: 5.1.1. cash; 5.1.2. payment card; 5.1.3. other agreed methods.
5.2.
Upon payment under clause 5.1., the seller undertakes that at the moment of payment, the buyer acquires the right to the goods, which are immediately handed over.
5.3.
Ak kupujúcim nie je spotrebiteľ, platobné podmienky si s predávajúcim dohodne v individuálnej zmluve, ktorá má prednosť pred týmito VOP. V prípade, že v individuálnej zmluve nie sú dohodnuté platobné podmienky, riadia sa pravidlá platby za tovar týmito VOP a zákonom č. 513/1991 Zb. Emerson s.r.o, so sídlom Račianska 88B, 83102 Bratislava, IČO: 53 870 212, IČ DPH: SK2121528662. Spoločnosť oprávnená na technické a emisné kontroly vozidiel.
Article 6
Withdrawal from a Distance Contract or Off-premises Contract
6.1.
The seller follows the provisions of Act No. 108/2024 Coll. upon withdrawal by the consumer from the contract.
6.2.
Where the buyer is not a consumer, the right of withdrawal is governed by Act No. 513/1991 Coll. (Commercial Code) and applies only in cases where this is permitted by law.
Article 7
Booking a service appointment
7.1.
The seller provides the buyer with the option to book an appointment for the provision of a service (performance of a technical inspection, emissions inspection or related service) in advance.
7.2.
A valid booking is evidenced by a confirmation SMS or email message delivered to the buyer immediately after completing the booking.
7.3.
If the buyer is more than 10 minutes late for the booked appointment, the seller is entitled to cancel the appointment and the buyer will need to rebook.
Article 8
Personal data protection – information for data subjects pursuant to Article 13 of the General Data Protection Regulation (GDPR)
8.1.
The seller undertakes that the buyer’s data, acquired and processed for the purpose of concluding a contractual relationship for the sale of goods, will be handled in accordance with Act No. 18/2018 Coll. on personal data protection.
8.2.
The purpose of processing personal data is the conclusion and performance of the subject matter of the contract.
8.3.
The legal basis for processing personal data pursuant to Article 6(1)(b) of the Regulation is the pre-contractual and contractual relationship.
8.4.
The seller undertakes to use personal data solely for the purpose for which it was collected; it will not disclose, make available or transfer it to third parties, except to the extent required by law.
8.5.
The buyer has the right to request access to their personal data from the seller pursuant to Article 15 of the Regulation and to object to processing pursuant to Article 21 of the Regulation.
8.6.
Predávajúci bude spracúvať osobné údaje iba počas doby trvania účelu a v rozsahu nevyhnutnom na splnenie účelu ich spracúvania. Dokumenty s osobnými údajmi v elektronickej forme budú po skončení účelu spracúvania z elektronických médií vymazané a dokumenty v listinnej forme budú zlikvidované s výnimkou tých, ktoré musia byť v súlade s platnou legislatívou Slovenskej republiky naďalej uchovávané počas trvania Emerson s.r.o, so sídlom Račianska 88B, 83102 Bratislava, IČO: 53 870 212, IČ DPH: SK2121528662 Tel.: +421 / 0902 071 772 E-mail: info@stkcity.sk www.stkctiy.sk. Spoločnosť oprávnená na technické a emisné kontroly vozidiel, ich úložnej doby podľa zákona č. 395/2002 Z. z. o archívoch a registratúrach v znení neskorších predpisov. Po skončení úložnej doby budú zlikvidované. 8.7. Kupujúci sa môže obrátiť so svojimi otázkami ohľadom spracovania jeho osobných údajov na predávajúceho písomne na adresu jeho sídla alebo zaslaním e-mailu na adresu info@stkcity.sk.
Article 9
Final provisions
9.1.
The supervisory authority is the Slovak Trade Inspection, Inspectorate SOI for the Bratislava Region (Bajkalská 21/A, P.O. Box 5, 820 07 Bratislava 27).
9.2.
Liability for defects in goods or services is governed by the Complaints Procedure of the company, which forms an integral part of these GTC.
9.3.
The provision of technical and emissions inspection services is subject to the personnel and capacity constraints of the facility. The seller reserves the right to refuse or reschedule a booking in justified cases.
9.4.
These GTC come into effect on 01.01.2026.
